Tumbra Influencer Program – Terms of Service

1. Agreement to Terms

By participating in the Tumbra Influencer Program (“Program”), you (“Influencer,” “you,” or “your”) agree to these Terms of Service (“Agreement”). If you do not accept these terms, you may not participate in the Program.

2. Program Overview

Bubba Hall Industries (“we,” “us,” or “our”) operates the Tumbra platform. This Program allows influencers to promote and refer gyms to sign up for Tumbra Enterprise Accounts. As an Influencer, you are eligible to earn recurring commission payments for each gym you refer, subject to the terms outlined below.

3. Eligibility

To join the Program, you must:

• Be at least 18 years old (or the legal age of majority in your jurisdiction)
  
  

• Be legally able to enter a binding contract
  
  

• Create and maintain a valid Stripe Connected Account
  
  

• Reside in a jurisdiction where participation in this Program is legal
  
  

4. Independent Contractor Status

You agree that you are acting as an independent contractor and not as an employee, agent, or partner of Bubba Hall Industries.

• You are responsible for your own taxes, insurance, business licenses, and compliance with laws.
  
  

• You are not entitled to employee benefits.
  
  

• You have full discretion over how and when you promote Tumbra.
  
  

5. Referral Commissions

You will earn 25% of the monthly subscription fees paid by each gym you refer to the Tumbra Enterprise program.

• Commissions apply only to active, paid subscriptions.
  
  

• If a gym cancels, downgrades, or misses a payment, no commission is owed for that month.
  
  

• There is no cap on how many gyms you can refer, and commissions are recurring as long as the referred gym remains active and paid.
  
  

6. Payments and Stripe Account

You are required to create and maintain a Stripe Connected Account in order to receive payments.

• Bubba Hall Industries uses Stripe to process payouts.
  
  

• We are not responsible for delays, errors, account setup issues, or failed payments caused by Stripe or incorrect information you provide.
  
  

• You are responsible for all taxes and reporting related to your income from the Program.
  
  

7. Payment Schedule

• Payouts are made on a monthly basis, typically within 10 business days of the referred gym’s successful payment.
  
  

• Only cleared payments are eligible for commission.
  
  

• We reserve the right to delay or withhold payment if there is suspected fraud or violation of this Agreement.
  
  

8. Prohibited Activities

You agree not to:

• Use misleading or false claims to promote Tumbra
  
  

• Spam individuals or groups with unsolicited messages
  
  

• Associate the Tumbra name with illegal, explicit, or offensive content
  
  

• Violate any laws or third-party rights while promoting the Program
  
  

Violation of these rules may result in suspension or permanent removal from the Program, with forfeiture of unpaid commissions.

9. Intellectual Property

Bubba Hall Industries grants you a limited, revocable, non-exclusive license to use approved Tumbra branding and marketing materials strictly for the purpose of referral promotion.

• You may not alter or misuse our branding.
  
  

• All intellectual property remains the sole property of Bubba Hall Industries.
  
  

10. Termination

Either party may terminate your participation in the Program at any time, with or without cause.

• Upon termination, you will no longer earn commissions for new referrals.
  
  

• You will receive commissions for valid referrals made before termination, subject to payment clearance.
  
  

• You must cease use of Tumbra brand assets upon termination.
  
  

11. Limitation of Liability

To the maximum extent permitted by law:

• Bubba Hall Industries is not liable for indirect, incidental, or consequential damages, including loss of income.
  
  

• Our maximum liability to you is limited to the commissions paid to you in the last 90 days.
  
  

• You are solely responsible for any legal issues arising from your promotions, advertising, or actions.
  
  

12. Indemnification

You agree to indemnify and hold harmless Bubba Hall Industries, its owners, employees, and affiliates from any claims, losses, damages, or legal fees resulting from your participation in the Program or violation of these terms.

13. Modifications

We reserve the right to modify these Terms of Service at any time. We will provide notice of changes, and your continued participation constitutes acceptance of the updated terms.

14. Governing Law

This Agreement is governed by the laws of the State of Utah. Any legal action shall be brought in the courts of Washington County, Utah. You consent to the exclusive jurisdiction and venue of these courts.

15. Entire Agreement

This Agreement represents the entire agreement between you and Bubba Hall Industries regarding the Influencer Program. It supersedes any prior understandings or agreements, whether written or oral.

16. Acknowledgment

By participating in the Program, you confirm that you have read and agreed to these Terms of Service and understand your rights and responsibilities.
